Welcome to CivicHire Solutions LLC ("CivicHire," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of our website, products, and services, including CivicHire Recruiting 360, the Proactive Recruiter App, consulting services, and training programs. By accessing or using our services, you agree to be bound by these Terms.

1. Agreement to Terms

By accessing our website or using any of our products and services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are using our services on behalf of a law enforcement agency or organization, you represent that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, you may not access or use our services.

2. Description of Services

CivicHire Solutions provides intelligence-driven recruiting tools and services designed for law enforcement agencies, including:

• CivicHire Recruiting 360: A recruiting intelligence dashboard for command staff and department planners
• Proactive Recruiter App: A mobile field tool for officers and designated recruiters
• Strategic Recruiting Consulting: Advisory services for department recruiting strategy
• Recruiting Assessment: Department recruiting process evaluation
• Training Programs: Certification, webinars, and in-person training for recruiting teams

We reserve the right to modify, suspend, or discontinue any part of our services at any time with reasonable notice to active subscribers.

3. Accounts and Registration

To access certain features of our services, you may be required to create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information
• Maintain the security of your login credentials
• Notify us promptly of any unauthorized access to your account
• Accept responsibility for all activity that occurs under your account

Agency administrators are responsible for managing user access within their organization and ensuring that authorized personnel comply with these Terms.

4. Payment Terms

Certain services require payment of fees. By subscribing to a paid service, you agree to the following:

• Fees are billed in accordance with the pricing plan selected at the time of purchase
• Subscriptions renew automatically unless canceled before the renewal date
• You are responsible for all applicable taxes associated with your subscription
• Refunds are handled on a case-by-case basis at the discretion of CivicHire

Current pricing for our core products:

• CivicHire Recruiting 360: $299 per agency per month
• Proactive Recruiter App: $19 per user per month
• Proactive Recruiter Certification: $19 per month
• In-Person Training: $1,200 per seat

5. Intellectual Property

All content, software, designs, trademarks, and other intellectual property associated with CivicHire Solutions and our services are owned by or licensed to CivicHire. You may not copy, modify, distribute, sell, or lease any part of our services or included content without prior written consent.

Your use of our services does not grant you ownership of any intellectual property rights in our products or the content you access through them.

6. Data Ownership and Use

Recruiting data entered by your agency into our products remains the property of your agency. CivicHire acts as a data processor on your behalf and will not sell, share, or use your agency's recruiting data for purposes other than providing our services.

You retain all rights to your data and may request export or deletion of your data at any time, subject to the terms outlined in our Privacy Policy.

7. Acceptable Use

You agree to use our services only for their intended purpose of law enforcement recruiting activities. You may not:

• Use our services for any unlawful purpose or in violation of any applicable laws
• Attempt to gain unauthorized access to our systems or other users' accounts
• Interfere with or disrupt the integrity or performance of our services
• Reverse engineer, decompile, or disassemble any aspect of our products
• Use our services to store or transmit content that is discriminatory or violates civil rights laws

8. Limitation of Liability

To the fullest extent permitted by law, CivicHire Solutions shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, or goodwill.

Our total liability for any claims arising under these Terms shall not exceed the amount you paid to CivicHire during the twelve (12) months preceding the event giving rise to the claim. Our services are provided "as is" and "as available" without warranties of any kind, either express or implied.

9. Termination

Either party may terminate the service agreement with thirty (30) days written notice. CivicHire reserves the right to suspend or terminate your access immediately if you violate these Terms.

Upon termination:

• Your access to our products and services will be deactivated
• You will have thirty (30) days to request an export of your data
• Outstanding payment obligations remain due
• Provisions that by their nature should survive termination (including intellectual property, limitation of liability, and governing law) will continue to apply

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Nevada, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be resolved in the state or federal courts located in Nevada.

11. Changes to These Terms

We may update these Terms from time to time. We will notify active subscribers of any material changes at least thirty (30) days before they take effect. Your continued use of our services after the updated Terms become effective constitutes your acceptance of the changes.
